You must be at least 18 years old and have the legal authority to enter into binding agreements on behalf of yourself or your organization to use this Service. You agree to provide accurate, complete, and current information when registering and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.
ContractIQ provides an AI-assisted contract management platform that allows users to upload, analyze, and organize contracts. The Service extracts dates, deadlines, obligations, and other structured data from uploaded documents to help users track contractual timelines. ContractIQ is a tool designed to improve visibility and organization, not to provide legal, financial, or professional advice.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
You retain full ownership of all contracts and documents you upload to the Service ("User Content"). By uploading content, you grant ContractIQ a limited, non-exclusive, non-transferable license to process, store, and analyze your content solely for the purpose of providing the Service to you.
You represent and warrant that you have all rights necessary to upload your content and that doing so does not violate any third-party rights, confidentiality obligations, or applicable law. ContractIQ does not claim ownership of your documents and will not use them for any purpose other than delivering the Service as described.
The Service uses artificial intelligence to extract and analyze contract data. While we strive for high accuracy, AI-generated outputs may contain errors, omissions, or misinterpretations. You acknowledge that:
ContractIQ offers both free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) via Stripe. By subscribing to a paid plan, you authorize ContractIQ to charge the applicable fees to your payment method on a recurring basis until you cancel.
Free plan users are limited to 5 contracts. Upgrading to a paid plan unlocks unlimited contract uploads and additional features as described on the Pricing page. All fees are non-refundable except as expressly stated in our Billing Policy or as required by applicable law.
We reserve the right to change pricing at any time with reasonable advance notice. Continued use of a paid plan after a price change constitutes your acceptance of the new pricing.
You may cancel your subscription at any time from your account settings or by contacting us at hello@contractiqapp.com. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of that period.
We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or misuse the Service. We will provide reasonable notice where possible except in cases of serious violations.
The ContractIQ platform, including its design, code, features, and branding, is owned by ContractIQ and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our express written consent. Your User Content remains your property.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONTRACTIQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to ContractIQ in the 12 months preceding the claim.
You agree to indemnify, defend, and hold harmless ContractIQ and its affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ContractIQ operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration or, where applicable, in the courts of that jurisdiction.
